Board of Directors

Composition and Election

According to the Articles of Incorporation, the Board of Directors shall consist of five to nine members with a three-year term. The company adopts a candidate nomination system, where directors are elected by the shareholders' meeting from a list of candidates. Directors are eligible for re-election. The Board is composed of the directors; the Chairman of the Board shall be elected from among the directors by a majority vote at a meeting attended by at least two-thirds of the directors. The Chairman shall represent the Company externally.

Responsibilities and Authorities

The Board of Directors is responsible for guiding corporate strategies, supervising the management team, and being accountable to the Company and its shareholders. The powers and duties of the Board include, but are not limited to:

  • Planning for the increase or decrease of the Company's capital.
  • Approval of the Articles of Organization and internal regulations.
  • Review and approval of the annual budget.
  • Proposals for distribution of earnings or offsetting of losses.
  • Approval of domestic borrowing limits.
  • Approval of the issuance of corporate bonds.
  • Approval of internal control systems.
  • Establishment of the organizational charters for the Board and its functional committees.
  • Defining the duties and responsibilities of Independent Directors.

Other powers and duties authorized by laws, regulations, or resolutions of the shareholders' meeting.
